1. Contract


During the use of this mobile application, our relationship will be controlled and governed under these terms and conditions. By downloading, installing, subscribing, updating, or using this mobile application, you are acknowledging that you agree to comply with all the terms and conditions set forth herein. However, if you fail to comply with the terms and conditions set forth herein, please immediately delete or uninstall the mobile application from your cellphone, tab or any other device.

2. Our Service


Our goal is to reach the doorsteps of every merchant with the help of information and applications provided by Sheba Platform Ltd and sMANAGER, a mobile application with various information related to the business's daily sales, bookkeeping, buying goods, keeping personal accounts very easily and accurately. This mobile application does not provide any inaccurate calculations or information, and all information and data provided herein are prepared based on the highest knowledge and expertise of 'sMANAGER' Application and Sheba Platform Ltd.

3. Methods of Receiving Services


3.1. You are assuming you must be a merchant to download, install, subscribe, update, or use this mobile application as this application is designed in a way to assist the micro, small and medium enterprises of Bangladesh.

3.2. This mobile app has a variety of tools to allow users to incorporate all the information about their business. By incorporating information into these tools you can keep various accounts of your business. The inclusion of information or the information provided by the user is entirely the responsibility of the user himself/herself.

4. Service Limitations


We reserve the right to modify reform, change, scour, improve or suspend this mobile application at any time to protect the interests of the 'sMANAGER' mobile application or its users at any time with or without notice. However, if a notice is not possible to provide, we will not be liable to the user or third party for modifying, reforming, changing, scouring, improving or suspending the mobile application without such notice, unless otherwise arising out of or contrary to these terms.

5. Obligation


We may ask for the inclusion of all account-related information of his business to provide the User with appropriate service through the Mobile Application under the above terms, and in providing such information you agree that the information you provide,

(1) is not false, inaccurate or misleading, and as a user, you will make every effort to provide accurate information;

(2) do not infringe on the copyrights, patents, trademarks, trade secrets or other rights of any third party;

(3) shall not violate any rules, regulations or ordinances;

6. Liability


6.1. Download, install, and use of the mobile app in whatever condition it is at present; And we do not offer any opinions, suggestions or warranties of any kind regarding the satisfactory quality of the mobile app to encourage the user to use the mobile app. If you experience any problem with your mobile phone or your device is damaged due to the use of this mobile application, the experts involved in creating this application, Sheba Platform Ltd or its officers, employees will not be responsible.

6.2. All the information needed to improve the business of mobile applications is collected through research.

6.3. The responsibility of incorporating your business account into various tools in this mobile application is solely for you and any mistake you make, and the results you receive are solely due to your mistake, the experts involved in creating this application, Sheba Platform Ltd or its officers, employees will not be responsible.

7. Data Protection and Use


This mobile app may also collect some of your personal information to use this mobile application and subsequently to ensure that you use it seamlessly.

7.1. Contact information access to create your profile and provide loan benefits.

7.2. GEO location information access to place a service order based on your location.

7.3. Camera and gallery access permissions for uploading product images to the inventory management tool. Besides, we are taking this permission to upload the picture when applying for a profile or loan.

7.4. Your customer contact information access to generate reports based on your customer's transactions.

This information may also be used for research purposes, maintaining your privacy at the national, international level.

8. Disclosure


We reserve the right to modify reform, change, scour, improve or suspend this mobile application at any time to protect the interests of the 'sMANAGER' mobile application or its users at any time with or without notice. However, if a notice is not possible to provide, we will not be liable to the user or third party for modifying, reforming, changing, scouring, improving or suspending the mobile application without such notice, unless otherwise arising out of or contrary to these terms.

4. Service Limitations


8.1. A 2.5% charge applies for payments through a digital payment link.

8.2. Orders placed from Reward Point will be paid within 15 working days.

8.3. If at any stage of payment link or rewards point a customer is doing any illegal activities, then Sheba Platform Limited or sMANAGER authority may cancel or take legal action against the customer at any time.

8.4. It is recommended to have a national identity card to withdraw money. The minimum lift amount is 100 Tk.

9. Intellectual Property Rights


All information and data of this mobile application are protected by copyright and the tools used in this mobile application, without the written and contractual permission of Sheba Platform Limited, the use of the format, a compilation of these tools or the code is legally punishable for personal or commercial purposes.

10. Compensation


You will relieve the experts of Sheba Platform Limited or the Mobile App from any loss, liability, loss or expense incurred as a result of your actions or breach of these Terms, and in this case, any events appearing on the Sheba Platform. We will promptly notify you of any claim, loss, liability or demand arising from it and vice versa.

11. Correction


Sheba Platform Ltd – reserves to modify, reform, change, scour, improve or suspend these Terms and Conditions at any time without proper notice with the assistance of experts connected to the mobile application.

12. Jurisdiction


The terms and conditions of this mobile application or any part thereof shall be governed by the applicable laws of Bangladesh.

13. Opinion


You may also provide feedback on any changes, enhancements or additions to this mobile application in the Review Section of the App Store (Google Play Store). Your valuable feedback will be seriously reviewed by the application team and the next update of this mobile app will be sent to your mobile via the App Store, as soon as possible with appropriate changes, modifications, and additions. However, Sheba Platform Limited or sMANAGER or any party associated with this application is not obliged to follow your opinion or in-app suggestions for modification, and you are not obliged to give your deadline for the application to reflect your desired changes. Modifying the application in your opinion or suggestion is solely your own decision on Sheba Platform Limited or sMANAGER or the parties involved in the creation of this application.

14. Communication


You may inquire about any changes, enhancements, additions or additions to this application by dialing the number provided in the mobile application. The App Team will seriously review your valuable feedback and send the next update of this mobile app to your mobile via the App Store, making the appropriate changes, enhancements, and additions possible. Provided, however, that Service Platform Limited or any party associated with sMANAGER Application or Application is not obliged to follow your suggestion or in-app suggestion for change, and you are not obliged to make any changes to the application to reflect your desired changes. The modification of the application or sMANAGER application or the parties involved in creating this application is solely your own decision in your opinion or suggestion.

15. Legal system


If you take any action concerning any of the applications in any of the above terms and conditions, it is against Sheba Platform Limited, sMANAGER or the individuals or organizations involved in the creation of this application, Services Platform Ltd, sMANAGER or affiliated with this application. Individuals have legal action against you Reserves the right to take.

These Terms apply to version 2.1 of the sMANAGER application. These terms and conditions may be modified later, and you may be notified by the new installation notice of the application.


The agreement to use these terms was last updated on June 1, 2021. The Parties entered into this Privacy Policy Agreement on June 10, 2021.

sDelivery, the delivery based concern of sManager values the privacy of its users information. In this Privacy Policy, it is described how sDelivery uses the information that sDelivery receives from a user and how sDelivery protects that information.

2. Our Service


sDelivery aims to enable MSME merchants of sManager with delivery system support in collaboration with our logistics partners through which the merchants will be able to deliver their products to their customers. By enrolling into sDelivery, a MSME merchant will be able to provide home delivery service to their customers to deliver customer’s purchased products.

3. Methods of Receiving Services


3.1.Registration in sManager: Firstly, a merchant has to be a registered user of sManager app with valid subscription package (Basic plus, Ultra or Advance) to avail this service provided by sDelivery.

3.2.Enrollment to sDelivery & Updating Bank Account: A merchant has to enroll to sDelivery with mentioned procedure inside the service feature. After that, the merchant has to provide their bank details for the purpose of purchasing by Cash on Delivery. A merchant can update their bank account information by in-app instant chatting or calling to 16516 along with their Merchant Name and sManager account number that has been used to register in the app. Within 48 hours, the sDelivery team will update their account information and will confirm you over phone call.

3.3.Pick-up & Delivery Process: For merchants inside Dhaka, both pick-up and delivery is available. They will be able to deliver products all over Bangladesh with sDelivery. Upon receiving an order request, our logistics partner will pick-up the product and deliver it to the customer's location. Product pick-up starts from order cut-off time and usually it continues till 6:00 PM to 7:00 PM every day. For other merchants, at present they have to drop their product at their nearest pick-up station of the sDelivery logistics partner at their convenient time from 9:00 AM to 6:00 PM, six days a week (except Friday) and they will deliver the product to the customer's location.

3.4.Payment Process: In general, payments of purchases with digital payment will directly go to their sManager credit. Payments with COD (Cash on delivery) will be collected by our logistics partners and will be sent to the merchant’s bank account. sDelivery Logistics partner will make payment to the merchant's bank account or mobile wallet account within 5 banking days in a week. Upon successful delivery, the collection amount will be deposited to the merchant account deducting the service charges and COD commission. The payments are disbursed to the merchant’s account on the next working day. Payment will take a minimum 2-3 days.

4. Obligation


We may ask for the inclusion of all account-related information of a user’s business to provide them with appropriate service through the Mobile Application under the above terms, and in providing such information you agree that the information you provide,
(1) is not false, inaccurate or misleading, and as a user, you will make every effort to provide accurate information; (2) do not infringe on the copyrights, patents, trademarks, trade secrets or other rights of any third party; (3) shall not violate any rules, regulations or ordinances.

5.Liability


5.1. 6. Disclosure


sDelivery reserves the right to modify, reform, change, scour, improve or suspend this service at any time to protect the interests of the sDelivery, their logistic partner and sManager mobile application at any time with or without notice. However, if a notice is not being possible to provide, we will not be liable to the user or third party for modifying, reforming, changing, scouring, improving or suspending the mobile application without such notice, unless otherwise arising out of or contrary to these terms.

6.1. Compensation Process for Lost/Damaged Cases: For damaged and/or lost products, sDelivery and sDelivery Logistics Partner will conduct a thorough investigation. After investigation, if sDelivery and sDelivery Logistics Partner is found liable, then 100% of the package price will be compensated by sDelivery and sDelivery Logistics Partner within 30 (thirty) days from the date of result of the investigation. However, if any product gets damaged because of a packaging flaw from the merchant’s end, sDelivery or sDelivery Logistics partner will not be liable.

6.2. Timeline for Refund of Damaged/Lost Cases: The merchant will get the refund within 30 (thirty) days of the damage lost issue arises, provided sDelivery and sDelivery Logistics Partner is found liable for damage or lost issue after thorough investigation.

6.3. Time Limit for “On Hold” Issues: An order can be kept on-hold for up to 3 days against the recipient's request or if s/he is unreachable.

6.4.Policies for Handling Returned Orders:

6.4.1 For Inside Dhaka merchants, sDelivery logistics partner will send the returned parcels to the merchant's location. Pick-up officer will take a signature from the merchant on the respective copy of challan as a proof of return delivered to the merchant.

6.4.2 For Outside Dhaka merchants, sDelivery logistics partner will send the returned parcels to the nearest logistics partner’s counter of the merchant. sDelivery logistics partner’s counter officer will inform the merchant to come to the counter to collect the returned parcel.

6.5. Timeline to Get Returned Parcels:

6.5.1. For Dhaka Based Merchants:

A. Orders inside Dhaka: return within 7days
B. Orders of periphery district: return within 10 days.
C. Orders of other District: return within 15 days.

6.5.2. For Outside Dhaka Merchants:

A. Orders of the same district: return within 7 days.
B. Orders of periphery district: return within 10 days.
C. Orders of other District: return within 20 days.

7. Intellectual Property Rights


All information and data of sDelivery are protected by copyright and the tools used in sManager. Without the written and contractual permission of Sheba Platform Limited, the use of the format, a compilation of these tools or the code is legally punishable for personal or commercial purposes.

8. Correction


sDelivery, sManager and Sheba Platform Ltd. reserves the right to modify, reform, change, scour, improve or suspend these Terms and Conditions at any time without proper notice with the assistance of experts connected to both the service feature and the mobile application.

9. Jurisdiction


The terms and conditions of this service feature and mobile application or any part thereof shall be governed by the applicable laws of Bangladesh.

10. Opinion/Communication


You may inquire or provide feedback on any changes, enhancements or additions to sDelivery in the Review Section of the App Store (Google Play Store). Your valuable feedback will be seriously reviewed by the application team and the next update of this mobile app will be sent to your mobile via the App Store as soon as possible with appropriate changes, modifications, and additions. However, Sheba Platform Limited, sManager, sDelivery or any party associated with this application is not obliged to follow your opinion or in-app suggestions for modification, and you are not obliged to give a deadline from your end for the application to reflect your desired changes. Modifying the feature according to your opinion or suggestion is solely dependent on the decision of Sheba Platform Limited, sManager and sDelivery or the parties involved in the creation of this application.

11. Legal system


If you take any action concerning sDelivery or any of the above terms and conditions which is against Sheba Platform Limited, sManager, sDelivery or the individuals/organizations involved in the creation of this application, please note that these parties reserve the right to take legal action against you. These terms and conditions apply to all users and can be modified by sDelivery, sManager and Sheba Platform Limited at any time if ever needed with or without any prior notice.
